Abstract
Global development has inevitably had an impact on the Indonesian government to undertake a program of increasing competitiveness. One of the obstacles in increasing competitiveness is unethical business behavior that does not reflect business ethics. Law as an instrument that can be used to change the behavior of businesses, is expected to play an optimal role. In fact, legislation as one of the legal instruments, does not give a significant effect on the formation of business behavior. This is because the legislation is not sufficient to accommodate the need for the establishment of behavior that can realize increased competitiveness. The main problem in this paper is whether the policy rules, in terms of legal discretion, can be used for implementing the task of implementing the law enforcement of good corporate governance specified in the Law No. 40 of 2007. By using normative juridical research method, the results showed that to optimize the formation of business ethics that embody competitiveness must be equipped with regulatory policy
