Comparative study of the civil and economic Responsibilities of commercial companies in The legal systems of Iran and England

Abstract
Given that legal entities have the will and authority through management, it is possible that they violate the rights of individuals or commit illegal acts. Due to the importance of protecting public rights, it is necessary to examine the legal responsibilities of legal entities and this study has been conducted with the aim of comparative study of financial liability of commercial companies in the legal systems of Iran and the United Kingdom by analytical-descriptive method. In the Iranian legal system, civil liability debate is raised and compensation and the culprits must compensate, because the Iranian and British legal systems emphasize that legal entities are responsible for this. But the possibility of litigation by legal entities from personnel due to damages has been recognized only in Iranian law. The UK legal system directly blames the director of the company and the complex for criminal offenses and does not provide specific penalties for the legal entity. However, in the Iranian legal system, special punishments for legal entities such as the prohibition of activity and expected dissolution and punishments such as retaliation are not carried out to legal entities.
