STUDY ON LISTED COMPANY GOVERNANCE ? CONTROL POWER WAR OF GOME AS AN EXAMPLE

The board of directors has become a key component of the governance structure of modern listed companies. Role positioning, power boundary and power restraint of the board of directors in corporate governance is significant to the stable growth of a listed company. This was the warning of Gome control power war in 2010 to enterprises in China. The author takes the view that, within the governance structure of a modern listed company, the board of directors shall be positioned as the centre of power, which gives it an adequate autonomy in operation and decisionmaking while subject to appropriate boundaries and restraint mechanism established to avoid abuse of power
