Abstract
In a market economy, people make a huge number of transactions every day, incl. by concluding contracts, orally and in writing. These transactions can be concluded taking into account all the conditions of the law and be valid, or they can violate the requirements of the law and be already invalid, or not concluded. And therefore, since The Civil Code of the Russian Federation does not include criteria that distinguish between the concept of invalid and unconcluded transactions. Due to the fact that the legislation does not contain a clear distinction between invalidity and non-conclusion of transactions, significant difficulties arise when resolving specific issues.
