Abstract
Board of directors occupy a core status in governance structure in state-owned companies. It connects the hinge of company ownership and managerial authority, prevents excess political interferences from state organs, and bearing the heavy responsibility of balancing company economic benefit and social responsibility. However, board of directors in state-owned companies has not given a fully play from the beginning to end. This paper plans to analysis board of directors from aspects like core status, independence guarantee, internal framework setting, rewards and punishment system and operation standards, teases existing problems in operation of board of directors in current state-owned companies, and hopes to perfect system of board of directors in state-owned companies.
